New Identity Verification Rules for Directors and Company Officers
Significant changes are coming this year regarding the verification of the identity of directors, company secretaries, persons with significant control (PSCs), and those submitting filings on behalf of a company. These updates are aimed at improving transparency and security within corporate governance.
Voluntary Verification from April 2025
Starting from 8th April 2025, there will be an opportunity for existing directors and individuals within the scope of the new regime to verify their identity voluntarily. This step is a precursor to the mandatory requirements that will follow later in the year.
Mandatory Verification from Autumn 2025
Mandatory identity verification for new appointments and incorporations will be introduced from autumn 2025. By autumn 2026, all existing appointments must comply with these new verification requirements.
Verification Routes
There will be two primary routes to verify identity at Companies House:
- Direct Verification: Individuals can use GOV.UK One Login to verify their identity by submitting required ID documents such as passports or driving licenses.
- Authorised Corporate Service Provider (ACSP): Verification can also be carried out through an ACSP, which is supervised under anti-money laundering regulations. Sarah Brown Charity Law WS will be applying to become an ACSP.
Preparing for the Changes
At this stage, it is important to prepare for these changes by identifying who will need to be verified and give advance notice of these upcoming verification requirements to all directors and anyone else affected.
